General Terms and Conditions.

Last updated: July 2026 — Croisier Web — Canton of Jura, Switzerland

This English version is a translation provided for convenience. In the event of any discrepancy, the French version of these GTC shall prevail.

These general terms and conditions apply to all services provided by Croisier Web. They form an integral part of every accepted quote.

01 Identification of the Parties

These General Terms and Conditions (GTC) govern the service relationship between Croisier Web, a sole proprietorship based in the Canton of Jura (Switzerland), operated by Raphaël Croisier (hereinafter “the Provider”), and any natural or legal person using its services (hereinafter “the Client”).

02 Scope and Nature of the Services

These GTC apply to all services offered by the Provider, in particular website design, web development, hosting, maintenance, search engine optimisation, consulting and support. They supplement any quote, commercial offer or specific contract. In the event of a conflict, the provisions of the accepted quote prevail.

These are services, not a sale of goods. The creation of a custom website is in principle governed by the contract for work (art. 363 et seq. of the Swiss Code of Obligations, CO); hosting, maintenance, consulting and support are governed by the mandate (art. 394 et seq. CO) or by a mixed service contract, as provided in the accepted quote.

03 Quote and Order

Every collaboration begins with a quote detailing the services, estimated timelines and price. The quote is valid for 30 days from its date of issue.

The order becomes binding upon:

  • written acceptance of the quote (signature or e-mail);
  • payment of the agreed deposit.

Any additional request or significant change to the initial scope may be subject to an additional quote.

04 Pricing and Payment Terms

Prices are stated in Swiss francs (CHF). The Provider is currently not subject to VAT. Payment terms are as follows:

  • 40% deposit upon order confirmation (non-refundable);
  • 60% balance upon delivery of the project, before the final handover of access or go-live.

Invoices are payable within 30 days. In the event of late payment, default interest of 5% per year may be charged in accordance with Swiss law.

Hosting, maintenance or support services are invoiced separately according to the chosen plan (monthly or yearly).

05 Delivery Timelines

Delivery timelines are indicative and only start once:

  • the deposit has been received;
  • all necessary information and content have been provided by the Client.

Any delay in providing content, approvals or answers automatically suspends the timelines until the expected items are received. The Provider cannot be held liable for any delay attributable to the Client.

06 Client Obligations

The Client undertakes to:

  • provide the necessary texts, images, logos and information within the agreed timelines;
  • provide only content for which they hold the necessary rights or authorisations;
  • check the accuracy of the published information;
  • carry out approvals or correction requests within a reasonable time, generally 7 working days;
  • meet payment deadlines.

The Client remains solely responsible for the content published on their website, in particular the legal notice, privacy policies, terms and conditions, regulatory or professional obligations (including the rules applicable to their profession) and intellectual property rights.

07 Revisions and Changes

The quote includes the adjustments reasonably necessary to approve the project. Any request involving a significant change to the design, structure, features or content initially agreed may be subject to an additional quote or additional invoicing.

08 Delivery and Acceptance of the Website

Upon delivery, the Client has 7 working days to review the website and report in writing any defect or non-conformity with the accepted quote. In the absence of comments within this period, or as soon as the website goes live at the Client's request, the service is deemed accepted.

09 Intellectual Property

After full payment of the amounts due, the rights to use the website are transferred to the Client. The Provider retains the right to present the work in its portfolio. The Client may withdraw this right when ordering the website, or at any time from their user dashboard.

The Client has the same right regarding the reviews they post in the guestbook: they may request their removal at any time from their user dashboard.

The Provider's tools, components, templates, methods and know-how that are not specific to the project remain its property. Third-party libraries, frameworks, software or components used remain subject to their respective licences.

10 Domain Name, Hosting and Maintenance

When the Provider registers a domain name on the Client's behalf, the Client remains the owner of the domain as long as it is registered in their name.

Hosting, maintenance or support services are optional and subject to a separate contract. They may be terminated with 30 days' notice, unless otherwise agreed and subject to the mandatory legal provisions on the mandate (art. 404 CO).

The Provider cannot be held liable for interruptions, malfunctions or unavailability caused by hosting providers, registrars or other technical providers.

Without a maintenance contract, the Provider does not guarantee the future compatibility of the website with new versions of browsers, systems, extensions or technologies used.

In the event of clearly abusive or disproportionate use of a hosting or maintenance plan (number of requests, volume of changes or content out of all proportion to the normal use of the plan subscribed), the Provider reserves the right to revise the terms of the plan, to charge a supplement, or to terminate it with written notice.

11 Warranty and Corrections

For 30 days following delivery, the Provider corrects free of charge any technical defects directly attributable to its development work. This 30-day warranty replaces the statutory warranty for defects to the extent permitted by law, except in cases of fraud.

This warranty does not cover:

  • changes requested by the Client;
  • functional enhancements;
  • additional content;
  • work carried out by a third party;
  • issues related to external hosting or a third-party provider.

Any service outside the scope of this warranty will be invoiced separately.

12 Collaborators and Subcontractors

The Provider may use employees or independent developers (hereinafter “the Contributors”) to perform all or part of the services, without further authorisation from the Client. The Client deals exclusively with the Provider.

The Provider ensures that the Contributors are bound by confidentiality and data protection obligations, and gives them access to the Client's data and systems only to the extent necessary for the service. The Provider is liable to the Client for the Contributors' work as for its own, within the limits of art. 16.

13 Third-Party Services

The website may integrate services provided by third parties (hosting provider, registrar, Google services, payment gateways, marketing tools, social networks, etc.). The Provider cannot be held liable for interruptions, changes, limitations or discontinuation of these services.

14 Security

The Provider applies security best practices at the time the website is delivered. However, as no IT solution can guarantee absolute security, the Provider cannot be held liable for any intrusion, cyberattack or incident beyond its control occurring despite these measures.

15 Search Engine Optimisation (SEO)

The Provider applies recognised SEO best practices. However, no ranking on search engines, traffic volume or commercial result can be guaranteed. Search rankings depend in particular on competition, content quality, search engine updates and many factors beyond the Provider's control.

16 Liability

The Provider's liability is limited to the amount actually invoiced for the service concerned, to the extent permitted by law. This limitation does not apply in cases of fraud or gross negligence.

The Provider cannot be held liable, in particular, for:

  • loss of revenue;
  • loss of data;
  • business interruption;
  • indirect damage;
  • damage to reputation;
  • consequences resulting from improper use of the website by the Client.

17 Termination and Project Abandonment

The Client may cancel the order at any time, in writing. The deposit is then retained by the Provider and work already completed is invoiced in proportion to its progress, subject to the compensation due under art. 377 CO.

If the Client does not respond or cooperate for more than 60 days, the project may be considered abandoned. The Provider may then close the file and invoice the services already performed.

The Provider also reserves the right to refuse or interrupt an assignment if it contravenes the law, public order or these GTC.

18 Confidentiality and Data Protection

Each party treats as confidential any non-public information received from the other in the course of the service.

Personal data collected is used solely for the performance of the services offered. It is never sold to third parties. Processing is carried out in accordance with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the GDPR. The Provider may entrust this processing to the Contributors (art. 12) and to its hosting providers, preferably in Switzerland.

The Client refrains from transmitting to the Provider sensitive personal data or data covered by professional secrecy (for example health or client data), unless agreed in writing in advance and with appropriate measures. The Client remains responsible for the data collected through their website.

19 File Retention

The Provider keeps working files for a reasonable period after the end of the project. Beyond that, it reserves the right to delete source files, mock-ups or intermediate versions. The Client is advised to keep their own backups of the items handed over at delivery.

20 Force Majeure

The Provider cannot be held liable for any delay or non-performance resulting from force majeure, in particular: natural disaster, fire, widespread outage, major cyberattack, strike, government decision, prolonged telecommunications network outage, or any other event reasonably beyond its control.

21 Amendments to the GTC

The Provider reserves the right to amend these GTC at any time. The new provisions apply only to orders concluded after their publication date.

22 Governing Law and Jurisdiction

These GTC are governed by Swiss law, in particular the Swiss Code of Obligations (CO). In the event of a dispute, the parties will first seek an amicable solution. Failing agreement, the competent court is that of the Provider's registered office in the Canton of Jura, subject to mandatory legal provisions.
